Contents
1. Acceptance
By using envlegs.com (the "site") operated by Envoy Legacies, Inc. ("we", "us", "our"), or by requesting a quote or placing an order, you agree to these terms. If you do not agree, do not use the site or place orders.
2. Services
We source, decorate, and deliver promotional products, branded merchandise, and custom giveaways to collegiate, healthcare, government, and corporate customers. Services include apparel, drinkware, awards and recognition products, and large-scale branded merchandise programs. The scope of each project is defined in a written quote or statement of work.
3. Quotes and pricing
All projects are quoted in writing before production. Quotes are valid for 30 calendar days from the date on the quote unless otherwise stated. A quote is based on the information you provide. If requirements change (quantity, decoration, deadline, delivery destinations), we will issue a revised quote before proceeding. Verbal quotes are not binding — only written quotes are.
4. Orders and approval
Once you approve a written quote and the digital proof, the order enters production. Production may involve third-party manufacturers, decorators, and shippers. You are responsible for approving the final artwork, product selection, quantity, size breakdown, and delivery address before production begins. We are not responsible for errors in materials you supplied (logos, artwork, addresses) after written approval.
5. Payment terms
Payment terms are stated on your quote or invoice. Unless otherwise agreed in writing, invoices are due within 15 days of issue. Late payments may accrue a late fee of 1.5% per month (18% APR). For projects over a threshold stated on the quote, a deposit may be required before production. We accept payment by major credit card, ACH, or check.
6. Artwork and intellectual property
You represent that you own or have the right to use any artwork, logos, trademarks, or licensed materials you provide. You grant us a limited license to use those materials for the sole purpose of producing and delivering your order. We retain ownership of our pre-existing templates, product sourcing methods, and processes. Collegiate and other licensed marks are used only with your confirmed authorization.
7. Shipping and delivery
Shipping timelines stated on a quote are estimates based on information available at quoting. Actual delivery may vary due to manufacturer lead times, carrier delays, or events outside our control. Risk of loss transfers to you upon delivery to the carrier, unless we explicitly agree otherwise in writing. For international orders, you are responsible for duties, taxes, and customs clearance unless otherwise stated.
8. Cancellations and returns
Custom-branded merchandise is produced to your specifications and is generally non-returnable. Cancellations after written proof approval and before production may incur restocking or setup fees from our suppliers. If an order is defective or materially different from the approved proof, contact us within 14 days of delivery and we will arrange rework, replacement, or refund at our discretion.
9. Warranty and rework
If our deliverable does not match the approved proof or written quote, we will repair, replace, or rework it at no charge within 14 days of delivery. This is our sole warranty. We do not warrant color accuracy against physical samples beyond industry-standard tolerance, and we do not warrant that a product will remain in condition under misuse, excessive wear, or improper care.
10. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of your order is limited to the amount you paid us for the specific order in question. We are not liable for indirect, incidental, or consequential damages, including lost profits, lost opportunities, or third-party claims.
11. Indemnification
You agree to indemnify and hold us harmless from any third-party claim arising out of your breach of these terms, your misrepresentation of artwork or licensing rights, or your violation of any applicable law.
12. Transactional email
We use email only for legitimate transactional and operational purposes related to your project — quote confirmations, order confirmations, proof approvals, shipping and delivery notifications, and customer support. We do not send marketing, promotional, newsletter, or bulk email, and we do not rent, scrape, or buy third-party email lists.
13. Governing law
These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or our services shall be brought in the state or federal courts located in Davidson County, Tennessee, and you consent to the exclusive jurisdiction of those courts.
14. Changes to these terms
We may update these terms from time to time. The "last updated" date at the top will change. Material changes will be announced on the home page. Continued use of the site or continued engagement of our services after a change constitutes acceptance of the revised terms.
